By using the services of Blue Horn Tech ("we," "us," or "our"), you agree to comply with and be bound by the following Terms of Service. Please read these terms carefully before accessing or using our website, services, or products.

Our services include, but are not limited to, consultations, implementations, custom software solutions, and ongoing support.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information when requested.
  • Use our services in compliance with applicable laws and regulations.
  • Ensure that all content you provide us does not infringe on the intellectual property rights of others.
  • Cooperate with us to ensure timely completion of the project, including providing feedback and approval as needed.

5. Payment Terms

  • All services are subject to the fees outlined in the agreement or proposal provided to you.
  • Payment is due according to the terms outlined in the contract.
  • Late payments may incur additional charges.
  • We reserve the right to suspend or terminate services if payment is not received on time.

6. Confidentiality

Both parties agree to keep confidential all proprietary and sensitive information shared during the course of the engagement. This includes business plans, strategies, customer data, and intellectual property.

7. Intellectual Property

  • Blue Horn Tech retains ownership of all intellectual property rights in our proprietary software, tools, and any other materials we create as part of the services, unless otherwise agreed in writing.
  • You retain ownership of any content or materials you provide to us for the purposes of the project.
  • Upon payment in full, we grant you a non-exclusive, transferable license to use the deliverables produced under the agreement for their intended purpose.

8. Limitation of Liability

To the fullest extent permitted by law, Blue Horn Tech will not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service or product involved.

9. Termination

Either party may terminate the agreement with written notice if the other party breaches any of the terms outlined in this agreement.

  • Upon termination, any unpaid balances for completed services will become due.
  • Any intellectual property provided to the client by Blue Horn Tech remains the property of Blue Horn Tech unless otherwise agreed.

10. Indemnification

You agree to indemnify and hold Blue Horn Tech, its employees, and agents harmless from any claims, damages, or liabilities arising from your use of our services, including but not limited to violation of any third-party rights or laws.

11. Governing Law

These Terms of Service will be governed by and construed in accordance with the laws of the state of Minnesota, United States. Any disputes arising from these terms shall be resolved in the courts located in Richfield, MN.

12. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the issue through informal negotiation before pursuing legal action. If informal negotiation fails, both parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.
